Terms of Service

Effective date: 2026-09-30 Last updated: 2026-09-30

These Terms of Service (the “Terms”) govern access to and use of Base, including its websites, dashboards, mobile applications, booking and rental management tools, customer-facing booking pages, APIs and related services (collectively, the “Service”).

The Service is provided by the operator of Base, reachable at info@base.cy (“Platform”, “we”, “us” or “our”).

These Terms form a legally binding agreement between the Platform and the person or entity that creates an account, subscribes to, accesses or uses the Service for business purposes (“Business”, “you” or “your”).

By ticking the box to accept these Terms when creating an account, or by using the Service, you accept them. We keep a record of when an account accepted them.

1. Who may use the Service

The Service is intended only for businesses and professional users. It is not offered to consumers for personal, family or household use.

You must be at least 18 years old and able to enter into a binding contract. If you accept these Terms on behalf of a company or other organisation, you confirm that you have authority to bind it, and “you” then means that organisation.

A “Business User” means an owner, employee, contractor or other person authorised by the Business to access its account.

An “End Customer” means a person or organisation that books, requests, rents, reserves, purchases or otherwise obtains goods or services from the Business using functionality made available through the Service.

Nothing in these Terms limits rights that a person has under mandatory law and that cannot be excluded by contract.

2. What the Platform provides

Subject to these Terms and the applicable plan, the Platform provides hosted software that may enable the Business to manage matters such as:

  • services, rental items, vehicles, assets, resources or inventory;
  • availability, calendars, schedules and capacity;
  • reservations, bookings and rental periods;
  • Business Users, roles and locations;
  • End Customer records and communications;
  • notifications, messages and reminders;
  • operational records, documents, photographs, signatures and status information;
  • a public page for the Business and booking functionality for its End Customers;
  • reporting, automation and other related features that we make available from time to time.

The exact features available to you depend on your plan, configuration, territory and product version.

Mobile applications, where offered, may be distributed through third-party app stores and may not be available on every device, in every store or at all times. App-store terms apply to your download and use of them in addition to these Terms.

We may improve, add, remove or modify features over time. We will not intentionally remove a material paid feature during a prepaid subscription period without reasonable notice unless the change is required for security, law, a third-party dependency or prevention of abuse.

3. Free plan and early access

The Free plan, and any part of the Service we offer during early access, is provided free of charge. For free use:

  • features may be incomplete, may change materially and may be withdrawn;
  • no service levels, uptime commitments, response times or support hours apply;
  • we may limit usage, the number of accounts or access to particular features;
  • we may change or end the Free plan, or stop offering the Service, by giving at least 30 days’ notice to the email address of the account, during which you can export your data as described in Section 24; we may act sooner where required by law, security or abuse.

Paid plans are optional: fees apply to you only after you choose a paid plan or sign an Order (Section 9). Otherwise nothing in these Terms obliges you to pay.

4. We are a software provider, not the supplier of the Business’s services

The Platform provides technology to the Business. We do not provide, own, operate, inspect, rent, insure, warrant or control the services, rental items, vehicles, equipment, premises or other products made available by a Business to an End Customer.

Any booking, reservation, rental, purchase or other transaction concerning the Business’s goods or services is solely between the Business and the End Customer.

Unless we expressly agree otherwise in a separate written agreement:

  • we are not a party to the contract between the Business and an End Customer;
  • we do not act as the Business’s agent, broker, insurer, lessor, employer, franchisee, partner or representative;
  • we do not verify the identity, driving licence, age, creditworthiness or eligibility of any End Customer or Business User;
  • we do not guarantee that an End Customer will attend, arrive on time, pay, comply with a rental agreement or return property in any condition;
  • we do not guarantee the quality, legality, safety, availability or suitability of anything supplied by the Business;
  • we are not responsible for no-shows, late arrivals, overbookings or double bookings, cancellations, refunds, deposits, damage, theft, accidents, injuries, traffic or parking fines, disputes, taxes, insurance or any other obligation arising from the relationship between the Business and an End Customer.

The Business is solely responsible for determining and communicating the terms that apply to its End Customers, including prices, deposits, eligibility requirements, cancellation and refund rules, rental conditions, insurance terms, safety requirements and any information that consumer law requires.

5. End Customer payments

Under the current Service model, the Platform does not receive, hold, settle or take custody of money paid by an End Customer to the Business. The Service may let the Business record payments made outside the Service; such records are the Business’s own notes.

If the Service displays a payment link or integrates with a third-party payment provider, the payment relationship is directly between the Business, the End Customer and that provider. The Business is responsible for entering into any required payment-provider agreement and for complying with its terms.

The Platform is not a bank, payment institution, electronic money institution or payment service provider and does not provide regulated payment services merely by enabling a Business to configure or link to a third-party payment service.

If our payment model changes in the future, any materially different payment service will be subject to updated or separate terms before it is made available.

6. Information, calculations and documents produced by the Service

The Service calculates and displays information — including availability, prices, totals, taxes, deposits, discounts, durations, reminders, reports and documents — from the configuration, rates and data that the Business enters.

The Business is responsible for checking that its configuration is correct and that the information shown to End Customers is accurate before relying on it. We are not responsible for losses resulting from incorrect or incomplete configuration, rates, taxes, availability or other data entered by a Business or its users.

Unless we expressly state otherwise, documents produced by the Service — including booking confirmations, quotes, receipts, rental agreements, handover or damage records — are operational documents. They are not fiscal receipts or tax invoices for the purposes of tax or fiscal law, and the Business is responsible for any fiscal documents it is required to issue.

Photographs, electronic signatures, time stamps and records captured through the Service are stored as provided. We do not guarantee that they will be accepted as evidence, that an electronic signature satisfies the formal requirements of any particular law or contract, or that they are complete or unaltered by the person who captured them.

Templates, default texts, suggested policies and example wording provided in the Service are starting points only and are not legal advice.

7. Communications and notifications

The Service can send emails and other notifications, and can carry messages between the Business and End Customers.

Delivery depends on third parties — email providers, mobile operating systems, app stores, messaging services and the recipient’s own settings — and is not guaranteed. Reminders and notifications are an aid; they do not replace the Business’s own responsibility to manage its bookings and to contact its End Customers.

The Business is responsible for the content of messages sent from its account or on its behalf, for having any consent that the law requires for them (including for marketing), and for how it answers its End Customers. We may block, delay or limit messages that we reasonably believe to be unlawful, abusive or harmful to the Service’s deliverability.

8. Account registration and security

You must provide accurate and current account information and keep it up to date.

You are responsible for:

  • maintaining the confidentiality of account credentials and of any second authentication factor;
  • restricting access to authorised Business Users and configuring roles and permissions appropriately;
  • promptly removing access for people who no longer require it;
  • the security of the devices and networks your users use to access the Service;
  • activities occurring through your account, except to the extent caused by our breach of these Terms or our security obligations;
  • notifying us promptly at info@base.cy if you reasonably suspect unauthorised access or compromise.

You must not share individual credentials in a way that circumvents plan limits, auditability or access controls.

9. Subscription, fees and taxes

Some parts of the Service require a paid plan. The applicable plan, billing interval, price and included usage are shown when you subscribe or are set out in an order form or other written agreement with us (“Order”). Paid plans bought in the Service are billed monthly, by card, through our payment provider (Stripe), and you agree to these terms by ticking the consent shown with the price before paying.

Unless an Order states otherwise:

  1. subscription fees are charged in advance for the applicable billing period;
  2. fees are stated exclusive of VAT and other applicable taxes unless expressly stated otherwise;
  3. you are responsible for taxes imposed on your purchase, other than taxes based on our net income;
  4. subscriptions automatically renew for successive periods equal to the previous billing period unless you cancel before renewal;
  5. cancellation stops future renewal but does not entitle you to a refund for an already-started billing period, except where required by law or expressly agreed by us;
  6. fees for a renewed period may change after reasonable prior notice;
  7. when you move to a higher plan, the difference for the rest of the current billing period is charged at once and the higher plan applies once that charge succeeds; when you move to a lower plan, it applies at once and the unused part of the current period is credited against your next payments.

If a payment is overdue, we may retry payment, restrict paid functionality or suspend access after providing reasonable notice, unless immediate action is reasonably necessary to prevent fraud or abuse.

For design partners or pilots, pricing, free periods, credits and any special commercial conditions may be set out in a written pilot agreement or Order.

10. Business responsibilities

You are responsible for your business and for how you and your users use the Service.

You must:

  • comply with laws and regulations applicable to your activities, including consumer-protection, data-protection, tax, licensing, transport, rental and safety rules;
  • hold any licences, registrations, permits and insurance required for your business;
  • ensure that goods, equipment, vehicles, premises or services you offer are lawful and, where applicable, safe, roadworthy and properly maintained and insured;
  • check the identity, age, driving licence or other eligibility of End Customers where your business or the law requires it, and collect identity-document data only where you have a lawful basis to do so;
  • provide End Customers with any terms, disclosures, cancellation rights, safety information and privacy notices required by law;
  • honour your commitments to End Customers and handle their complaints;
  • determine and account for your taxes, fees and statutory obligations;
  • use End Customer Data only where you have a lawful basis to do so;
  • keep your own records and copies of any information you are legally required to retain;
  • configure the Service consistently with your legal obligations.

The Platform does not provide legal, tax, accounting, insurance, safety or regulatory advice. Features, templates, reminders or automation provided through the Service are operational tools and do not determine whether your business is legally compliant.

11. Acceptable use

You must not, and must not permit anyone to:

  • use the Service for unlawful, fraudulent, deceptive, harassing or abusive activity;
  • offer through the Service goods or services that are illegal, or that require a licence you do not hold;
  • upload or distribute malware or malicious code;
  • attempt to gain unauthorised access to the Service or another customer’s systems or data;
  • probe, scan or test vulnerabilities except under a written vulnerability-disclosure arrangement authorised by us;
  • interfere with Service integrity, availability or security, or place an unreasonable load on it;
  • reverse engineer the Service except to the limited extent such restriction is prohibited by applicable law;
  • scrape or extract data at a scale or in a manner that materially burdens the Service or violates rights of others;
  • use the Service to send unlawful spam or communications without required consent;
  • upload content that infringes intellectual-property, confidentiality, privacy or other rights, or that is defamatory, obscene or hateful;
  • use the Service to build or train a competing service using non-public elements of the Service without our written permission;
  • circumvent technical limits, subscription restrictions or security controls.

We may refuse, restrict or end accounts whose activity we reasonably consider unlawful, high-risk or harmful to the Service, its users or our reputation, and may take proportionate action against abuse, including rate limiting, removing content, disabling functionality or suspending an account.

12. Public pages, directory and content

The Service can publish a page for the Business and, where the Business chooses, list it in a public directory. The Business is responsible for everything it publishes — texts, prices, photographs, logos, policies and staff profiles — and confirms that it has the rights and permissions needed to publish them, including the consent of any person shown.

You grant us a non-exclusive, worldwide, royalty-free licence to host, reproduce, display and adapt that content as needed to operate the Service, including your public page and, if you opt in, the directory. We may remove or hide content that we reasonably believe to be unlawful, misleading or in breach of these Terms, and we may decide which businesses appear in the directory and in what order.

13. Customer Data

“Customer Data” means data, content and records submitted to or generated in the Service on behalf of the Business, including End Customer Data, but excluding Platform analytics and information that we process independently as controller as described in our Privacy Policy.

As between the parties, the Business retains its rights in Customer Data.

You grant us a non-exclusive, worldwide right to host, copy, transmit, display, modify where technically necessary, back up and otherwise process Customer Data only as necessary to:

  • provide, secure, maintain and support the Service;
  • comply with your documented instructions;
  • prevent fraud, abuse or security incidents;
  • comply with law as permitted by the Data Processing Agreement and applicable data-protection law.

You represent that you have the rights and lawful basis necessary for us to process Customer Data on your behalf in accordance with these Terms and the DPA, and that Customer Data does not infringe anyone’s rights.

The Service is not a backup or archiving service. We keep backups for our own recovery from failures, not as a copy you can require us to restore on request. You are responsible for exporting and keeping your own copies of data that is important to you.

14. Data protection

For personal data relating to your Business account, Business Users, billing, security, support and our own service administration, each party acts in the role described in the Privacy Policy and applicable law.

For End Customer personal data processed by us solely to provide the Service on your behalf, the Business acts as controller and the Platform as processor. Our Data Processing Agreement (“DPA”) governs that processing, forms part of these Terms and is available on request at info@base.cy.

You remain responsible for responding to End Customers regarding your own privacy practices and for providing legally required privacy information to them.

15. Third-party services and integrations

The Service may interoperate with third-party products such as email and messaging services, calendars, maps, identity providers, app stores, payment providers, artificial-intelligence providers or other integrations that you choose to enable.

Third-party services are not controlled by us and are subject to their own terms, fees and privacy policies. Your authorisation of an integration is an instruction for us to exchange the data necessary to enable it. Integrations may be delayed, rate-limited, changed or withdrawn by their providers; for example, calendar synchronisation is periodic and not instantaneous.

We are not responsible for a third-party service, its availability or its handling of data once transmitted to it under your direction, except to the extent applicable law or the DPA provides otherwise.

16. Artificial-intelligence features

Some features may use artificial intelligence, including features that work with a provider account you connect yourself. Such features are optional. Their output may be inaccurate, incomplete or inappropriate, and you must review it before relying on it or sending it to anyone. You are responsible for the data you submit to such features and for complying with the terms of the provider you connect.

17. Intellectual property

The Service, including its software, interfaces, databases, visual design, documentation, trademarks and underlying technology, is owned by us or our licensors and is protected by applicable intellectual-property laws.

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable and revocable right during the term to access and use the Service for your internal business purposes.

No rights are granted except as expressly stated.

18. Feedback and references

If you voluntarily provide suggestions, ideas or feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate that feedback without restriction or obligation to you. This does not transfer ownership of your Customer Data or confidential business information.

We will name you as a user of the Service in our marketing only with your permission, which you may withdraw at any time for the future.

19. Confidentiality

Each party may receive non-public information that is identified as confidential or that reasonably should be understood to be confidential (“Confidential Information”).

The receiving party will:

  • use Confidential Information only to perform or exercise rights under the agreement;
  • protect it using at least reasonable care;
  • disclose it only to personnel and contractors who need to know it and are bound by appropriate confidentiality obligations.

Confidential Information does not include information that the receiving party can demonstrate is publicly available without breach, was lawfully known without restriction, was independently developed or was lawfully received from a third party without confidentiality obligation.

A legally compelled disclosure is permitted where the receiving party provides prior notice when legally allowed and discloses only what is legally required.

20. Availability, maintenance and beta functionality

We aim to provide a reliable Service but do not guarantee uninterrupted, timely, secure or error-free operation.

The Service may be temporarily unavailable because of maintenance, updates, third-party failures, internet or network conditions, attacks, security events or circumstances outside our reasonable control. We may carry out maintenance at any time and will try to minimise disruption.

Features labelled beta, preview, pilot, experimental or similar may be incomplete, may change materially and may be discontinued. The Service should not be used as the sole system for safety-critical or legally mandatory processes unless we expressly agree otherwise in writing.

21. Support

Support is available through the channel stated on our website and at info@base.cy.

Support hours and response targets, if any, are those stated in your Order. Unless expressly stated, we do not guarantee a particular response or resolution time.

22. Suspension

We may suspend or restrict access to some or all of the Service where reasonably necessary because:

  • fees are materially overdue;
  • your use presents a credible security risk to the Service or others;
  • we reasonably suspect fraud, unlawful activity or material breach of these Terms;
  • continued provision would violate law, a binding order or a material third-party obligation;
  • your use materially interferes with Service integrity or availability.

Where practicable, we will give notice and an opportunity to cure or object before suspension. We may act immediately where delay would create material legal, security or operational risk.

We will limit suspension to what is reasonably necessary and restore access after the relevant issue is resolved where appropriate.

23. Term and termination

These Terms begin when you first accept them or use the Service and continue until terminated.

You may terminate at any time by closing your account or, for a paid plan, by cancelling your subscription and ceasing use of the Service; a paid subscription then ends at the end of the current paid period unless an Order says otherwise.

We may terminate these Terms for convenience by giving at least 30 days’ notice to the email address of the account.

Either party may terminate for material breach if the breach is not cured within 30 days after written notice, unless the breach is incapable of cure or applicable law permits earlier termination.

We may terminate immediately for fraud, serious unlawful use, repeated abuse, insolvency where permitted by law, or a security threat that cannot reasonably be mitigated while the account remains active.

Inactive free accounts. If an account that is not on a paid plan has had, for twelve consecutive months, no sign-in by any of its users and no bookings, requests or other use through its public page, widget, app or API, we may close it and delete its data. We will email the account’s address at least 30 days before doing so; signing in or any such use during that time keeps the account, and you can export your data in the meantime as described in Section 24.

24. Data after termination

During the term you can export your data using the tools available in the Service. After termination, export remains available for 30 days, unless termination was for fraud, unlawful use or a security threat.

Customer Data will then be deleted or anonymised in accordance with our DPA, Privacy Policy and documented retention and backup processes, except where retention is required by law or necessary for the establishment, exercise or defence of legal claims.

You are responsible for exporting the data you need before that period ends. After it ends we are not obliged to keep or return Customer Data.

25. Disclaimers

To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available”, with all faults.

We disclaim implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement and any warranty arising from course of dealing or usage of trade, to the extent such disclaimers are legally permitted.

We do not warrant that:

  • the Service will be uninterrupted, timely, secure or error-free;
  • all defects will be corrected, or corrected within any particular time;
  • data will never be lost, corrupted or delayed;
  • the Service will meet every legal or sector-specific requirement applicable to your business;
  • any booking, rental or other Business–End Customer transaction will be completed or successful;
  • information entered by a Business, a Business User or an End Customer is accurate;
  • the Service will produce any particular commercial result.

Nothing in these Terms excludes obligations or warranties that cannot lawfully be excluded.

26. Limitation of liability

Nothing in these Terms excludes or limits liability to the extent it cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for wilful misconduct or gross negligence, and any other liability that applicable law requires to remain unlimited.

Subject to the paragraph above, and to the maximum extent permitted by applicable law:

  • neither party will be liable to the other for indirect, incidental, special, exemplary or consequential loss, or for loss of profits, revenue, bookings, business, contracts, goodwill, reputation or anticipated savings, or for the cost of procuring substitute services, however arising, even if advised that such loss may occur;
  • we will not be liable for loss or corruption of data, except that where it is caused by our breach we will use reasonable efforts to restore it from our most recent available backup;
  • we will not be liable for any loss arising from matters that these Terms place within the Business’s responsibility, including its configuration, content, End Customers, messages, integrations it enables, and the security of its credentials and devices;
  • our aggregate liability arising out of or relating to the Service, these Terms and all Orders, in contract, tort (including negligence), breach of statutory duty or otherwise, will not exceed the fees paid by the Business to us for the Service during the three months immediately preceding the event giving rise to the claim;
  • where the Service is provided free of charge, including during early access, pilots and design-partner arrangements, our aggregate liability will not exceed EUR 100.

The Service is priced, and offered free on the Free plan and during early access, on the basis of these limitations, which reflect the allocation of risk between the parties.

27. Indemnity by the Business

To the extent permitted by law, the Business will indemnify and hold the Platform harmless from third-party claims, losses, damages, fines and reasonable costs (including reasonable legal fees) arising from:

  • goods or services supplied, or not supplied, by the Business to an End Customer;
  • any dispute between the Business and an End Customer or a Business User;
  • the Business’s breach of applicable law, including consumer-protection, data-protection, tax, licensing or marketing rules;
  • Customer Data or public-page content that infringes a third party’s rights or is unlawful;
  • messages sent from the Business’s account or on its behalf;
  • the Business’s breach of Sections 10, 11 or 12;

except to the extent the claim was caused by our breach, negligence or unlawful conduct.

The Platform will give reasonable notice of an indemnified claim and allow the Business reasonable control of its defence and settlement, provided no settlement admits liability or imposes non-monetary obligations on the Platform without our consent.

28. Claims

Before bringing proceedings, a party must notify the other in writing of the claim and its basis and give it at least 30 days to remedy the matter, except where urgent relief is needed.

To the extent permitted by applicable law, any claim against the Platform must be notified to us in writing within twelve months after the Business became aware, or should reasonably have become aware, of the facts giving rise to it.

29. Changes to these Terms

We may update these Terms to reflect legal, security, operational or product changes. We will publish the updated Terms with a new “Last updated” date.

For material changes, we will give reasonable advance notice through the Service or by email — at least 30 days where the change adversely affects a paid subscription. Changes required urgently by law or security, and changes that do not adversely affect you, may take effect sooner.

If you do not agree with a change, you may stop using the Service and close your account before the change takes effect. Continued use after the effective date constitutes acceptance to the extent permitted by law.

30. Transfer to a company

The Platform may transfer its rights and obligations under these Terms, together with the operation of the Service and the data processed for it, to a company formed or controlled by the current operator, or to a successor in a merger, reorganisation, financing or sale of all or substantially all of the relevant business, provided the transferee assumes the Platform’s obligations. We will tell you of such a transfer by email or through the Service. You agree in advance to such a transfer; if you object to it, you may close your account.

31. Notices

Operational and legal notices to you may be given through the Service or by email to the address associated with your account, and are treated as received on the next business day after sending. You are responsible for keeping that address current.

Legal notices to us must be sent to info@base.cy.

32. Force majeure

Neither party is liable for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, epidemics, war, terrorism, civil disturbance, government action, failures of power, telecommunications, internet or cloud infrastructure, failures of suppliers, denial-of-service or other cyber attacks not caused by that party’s failure to use reasonable security measures, and labour disputes not limited to the affected party’s own workforce.

This section does not excuse payment obligations already due.

33. Assignment and subcontracting

You may not assign or transfer these Terms or an Order without our prior written consent, not to be unreasonably withheld in connection with a genuine corporate reorganisation or sale of substantially all relevant business assets.

We may use subcontractors and service providers to provide the Service, and remain responsible for their performance as required by these Terms and the DPA. Assignment by us is governed by Section 30.

34. Governing law and disputes

These Terms and any non-contractual obligations arising from or connected with them are governed by the laws of the Republic of Cyprus, without regard to conflict-of-law rules.

The parties will first try in good faith to resolve any dispute by negotiation under Section 28. Failing that, the courts of the Republic of Cyprus shall have exclusive jurisdiction, subject to any mandatory jurisdiction rules that cannot lawfully be excluded.

35. General

If any provision is held invalid or unenforceable, it will be applied to the maximum extent permitted and the remaining provisions will remain in effect; a limitation that cannot apply in full applies to the greatest extent the law allows.

Failure or delay in enforcing a provision is not a waiver.

The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, franchise or employment relationship.

Sections that by their nature should survive termination — including Sections 4, 6, 13, 14, 24 to 28, 34 and 35 — survive it.

You must comply with applicable sanctions and export-control laws in your use of the Service.

These Terms are written in English. If they are translated, the English version prevails.

These Terms, the applicable Order, the DPA and documents expressly incorporated by reference constitute the entire agreement concerning the Service and supersede prior proposals or understandings on the same subject. If there is a conflict, an individually executed Order prevails over these Terms for its specific subject matter, and the DPA prevails for processing of personal data to the extent of the conflict.

No person other than the parties has a right to enforce these Terms unless expressly stated.
